Project estimates are valid for 30 days from the date of estimate. Project may be re-estimated if, upon receipt of all project elements, the designer determines the scope of the project has been altered dramatically from the originally agreed upon concept. Estimates are based on one time fees or the hourly rate of $65/hr. Designer will be compensated for time worked over estimation within reason. A deposit in an amount equal to 50% of the total estimated cost is requested prior to execution of the project, unless agreed by the designer otherwise.

·Payment in full or the remaining balance is to be paid upon delivery of the completed project.

·Payment in full or the remaining balance is to be paid 15 days from receipt of the final invoice for the completed project. Finance charge of 1.5% per month (18% annually)on all overdue balances.

·The client assumes full reproduction rights upon payment for completed project.

·One time reproduction rights for the specified project, at the agreed fee, are granted to the client. Any other usage must be negotiated.


The designer retains personal rights to use the completed project and any preliminary designs for the purpose of design competitions, future publications on design, educational purposes and the marketing of the designer’s business. Where applicable the client will be given any necessary credit for usage of the project elements.


The client shall not unreasonably withhold acceptance of, or payment for, the project. If, prior to completion of the project, the client observes any non-conformance with the design plan, the designer must be promptly notified, allowing for necessary corrections. Rejection of the completed project or cancellation during its execution will result in forfeiture of deposit and the possible billing for all additional labor or expenses to date. All elements of the project must then be returned to the designer. Any usage by the client of those design elements will result in appropriate legal action. Client shall bear all costs, expenses, and reasonable attorney’s fees in any action brought to recover payment under this contract or in which ________________ may become a party by reason of this contract.


The estimated completion date the project is ______________. Any shipping or insurance costs will be assumed by the client. Any alteration or deviation from the above specifications involving extra costs will be executed only upon approval with the client. Any delay in the completion of the project due to actions or negligence of client, unusual transportation delays, unforeseen illness, or external forces beyond the control of the designer, shall entitle the designer to extend the completion/delivery date, upon notifying the client, by the time equivalent to the period of such delay.


ONLINE ORDERING PAYMENT TERMS

All orders must be prepaid due to the speed of our turnaround.  For all online orders, we accept PayPal, Visa, MasterCard, and American Express, e-checks (e-checks have a 3-4 day delay). Under no circumstances will Studio A Graphic submit a print job COD or give credit terms for online ordering. Cash payment can be arranged or payments can be mailed (a request is needed for this payment service).


CHANGE ORDERS.

After this CONTRACT is signed any material changes to the proposed design will require a CHANGE ORDER which

will become an addendum to this contract. Material updates and changes are defined as adding additional pages, custom graphics, additional illustrations, changing style and design, and/or functionality to the project outside of what is outlined in the proposal and initial design layout. Changes or edits outside the scope of the project are billed at $35 per hour (PRINT design) $55 per hour (WEB DESIGN). No work will be undertaken unless or until there is a negotiated change order that specifies the scope of work as to each individual item - or items. After this CONTRACT is signed any material changes to the proposed design will require a CHANGE ORDER which will become an addendum to this contract. No work will be undertaken unless or until there is a negotiated change order that specifies the scope of work as to each individual item - or items.


PERFORMANCE AGREEMENT

Designer and the Client must work together to complete the project(s) in a timely manner. Designer agrees to work expeditiously to complete the project(s) as outlined in the Project Outline after Client has submitted all necessary materials. The Client agrees to complete the project as outlined provided that the work performed by Designer is done to Client’s reasonable satisfaction. Notwithstanding any other provision of this Agreement, all work contemplated by this Agreement shall be accomplished to the reasonable satisfaction of the Client and the client shall not be obligated to pay the last 10% of any fees due under this Agreement until this reasonable satisfaction of the work product by client is satisfied as outlined by this proposal. If the Project is delayed beyond 30 days, but the project is moving forward, Antonio Samuels will invoice the client for a second invoice, equal to 25% of the remaining balance. If the Client delays the project beyond 45 days after each proposed project completion’s date, the remaining costs will be invoiced unless agreed upon otherwise.


TERMINATION

Either party may terminate this Agreement by giving 30 days written notice to the other of such termination. In the event that Work is postponed or terminated at the request of the Client, Consultant shall have the right to bill pro rate for work completed through the date of that request, while reserving all rights under this Agreement. If additional payment is due, this shall be payable within thirty days of the Client's written notification to stop work. In the event of termination, the Client shall also pay any expenses incurred by Consultant and the Consultant shall own all rights to the Work. The Client shall assume responsibility for all collection of legal fees necessitated by default in payment.


The Client and Consultant are independent parties and nothing in this Agreement shall constitute either party as the employer, principal or partner of or joint venture with the other party.  Neither the Client nor Consultant has any authority to assume or create any obligation or liability, either expresses or implied, on behalf of the other.

This Agreement shall be governed by and construed in accordance with the laws of _____South Carolina______ applicable therein.

 

PROOFING OF FINAL PROJECT

The designer shall work to ensure the final product is free of any grammatical and spelling errors, before giving the final product to the client. It is agreed that it is the client’s responsibility to ensure that there are no spelling or grammatical errors contained in the final product. It is agreed that ANTONIO SAMUELS, freelance is not responsible or held liable for any errors contained in the final product after the final product has been committed to print or posted in view of the public.


The above prices, specifications and conditions are hereby accepted. The designer is authorized to execute the project as outlined in this agreement. Payment will be made as proposed above.


The DESIGNER’S services shall be performed in accordance with the AIGA Code of Ethics and Professional Conduct for Graphic Designers.
